6. Client Responsibilities

7. Our Boundaries
To maintain service quality and integrity, we:
- Do not develop directly on live servers (except for digital marketing activities)
- Require access to testing environments and test data
- Expect professional conduct and respect toward our team
- Will maintain confidentiality and security of project data
8. Payment Terms
- Invoices are issued prior to work commencement
- Payments must be made in the invoiced currency
- Work may be paused or delayed if payments are not received on time
- Pricing is exclusive of applicable taxes unless otherwise noted
9. Liability Limitation
We are not liable for indirect damages, including loss of profits, business interruption, or reputational harm, unless caused by proven negligence or breach.
10. No Outcome Guarantee
While we aim to exceed expectations, we cannot guarantee specific business outcomes (e.g., sales increases, ROI, or brand awareness improvements).
11. Credit and Portfolio Use
We reserve the right to showcase completed work in our portfolio and may include a discreet link to The OrangeByte in your site’s footer unless agreed otherwise.
12. Project Management Tools
We may grant you temporary access to tools/platforms used for project communication and updates. You are responsible for the confidentiality and appropriate use of any login credentials.
13. Intellectual Property
Unless otherwise agreed, intellectual property developed for the Client belongs to the Client upon full payment. Pre-existing or third-party IP remains the property of its respective owner.
14. Issue Resolution
If concerns arise:
- First, reach out to your primary contact or project manager
- For billing issues, contact our finance team directly
- We are committed to resolving matters promptly and fairly
15. Respectful Communication
We welcome honest feedback but do not tolerate defamatory or derogatory comments on public platforms. Let’s handle disputes professionally.
16. Non-Solicitation
During our engagement and for 12 months after, you agree not to directly hire or solicit any of our team members for independent or competing work.
17. Entire Agreement
These terms represent the full agreement between you and The OrangeByte and supersede any prior understandings or discussions.
18. Copyright and Use
All materials provided by The OrangeByte are protected by applicable copyright laws. Unauthorized reuse or reproduction without our written consent is prohibited.
19. Refund Policy
Refunds may be considered under the following circumstances:
- Services not yet initiated
- Major deliverables unmet due to reasons under our control
- A mutually agreed resolution cannot be reached
Refund requests must be submitted within 7 days of service delivery. Approved refunds may take up to 10 business days to process. Currency conversion and transaction fees are your responsibility.
20. Changes to These Terms
We may update these Terms occasionally. Continued use of our services after any changes implies your acceptance of the revised terms.
